B2B General Terms of Quotation & Supply

1. B2B Scope & General Conditions (NL 17)

Laukaa Nordic Oy supplies industrial connectors, sensor/actuator cordsets, fieldbus cables, and custom wiring harnesses exclusively to business-to-business (B2B) corporate customers, OEMs, machine builders, and public institutions. Unless otherwise agreed in writing on an official quotation or frame agreement, all deliveries are governed by these terms and supplemented by NL 17 (General Conditions for the Supply of Machinery and Other Mechanical, Electrical and Electronic Equipment in Denmark, Finland, Norway and Sweden).

2. Quotations, Pricing & Value Added Tax (ALV)

• Quotation Validity: Written commercial quotations issued by Laukaa Nordic Oy remain valid for 30 calendar days from the issue date unless specified otherwise on the quotation document.
• Currency & VAT (ALV): All quoted unit prices and line totals are stated in Euro (EUR) excluding Value Added Tax (ALV 0%). For domestic deliveries within Finland, the prevailing statutory Finnish VAT rate (25.5%) is added to the invoice.
• Order Confirmation: A binding supply contract is formed when the customer issues a formal Purchase Order (PO) referencing our quotation and Laukaa Nordic Oy confirms the order in writing.

3. Delivery Terms (Incoterms® 2020) & Lead Times

Delivery terms are interpreted in accordance with Incoterms® 2020 as specified on the individual quotation (standard options: DAP Customer Facility or FCA Jyväskylä, Finland). Scheduled batch deliveries and annual OEM call-off schedules are dispatched according to the mutually confirmed production forecast.

4. Payment Terms, E-Invoicing & Retention of Title

Standard payment terms for approved corporate accounts are 14 days net (or 30 days net per agreement) from the invoice date via Finnish corporate e-invoicing (OVT / Maventa / Apix) or PDF invoice. Late payments are subject to statutory penalty interest under the Finnish Interest Act (Korkolaki 633/1982). Delivered goods remain the property of Laukaa Nordic Oy until paid in full.

5. Technical Drawings & Custom Cable Assemblies

Standard catalog products conform to IEC 61076-2 dimensional and electrical norms as detailed in our official PDF datasheets. For bespoke cable lengths, custom jacket stripping, or custom wiring harnesses, Laukaa Nordic Oy provides a 2D engineering drawing and pinout table for customer sign-off prior to production. Custom-manufactured assemblies built to signed customer drawings are non-cancellable and non-returnable once production has commenced.

6. Quality Assurance, Warranty & Governing Law

Products are supplied in accordance with the manufacturer's published technical datasheet and applicable IEC standards, with cable assemblies manufactured under ISO 9001 & IATF 16949 quality systems and tested for electrical continuity before dispatch. Laukaa Nordic Oy provides a 12-month warranty from delivery against manufacturing or material defects, limited to replacement or credit of non-conforming components in accordance with NL 17.

Any disputes arising out of or in connection with commercial supply agreements shall be governed by the laws of Finland and resolved in the District Court of Central Finland (Keski-Suomen käräjäoikeus, Jyväskylä).
